NEC Electronics Announces Corporate Reorganization

KAWASAKI, Japan, — 27 Apr 2004

NEC Electronics Corporation today announced a renewal of its corporate structure through a reorganization of its business units, designed to hone its competitive advantage in providing leading edge semiconductor solutions to its customers.

The primary organizational changes in this renewal include:

1)Reorganizing four technologies-based business units into five applications-based units

2)Centralizing the research and development teams from various units and divisions

3)Enhancing sales capabilities and regional support

4)Reinforcing manufacturing divisions

“Since our establishment in November, 2002, NEC Electronics’ corporate structure has been organized around our various semiconductor technologies. However, as product life cycles shorten and systems become increasingly complex, it is necessary to offer comprehensive solutions menus in order to remain our customers’ partner of choice,” said JJ Yamaguchi, Senior Vice President of NEC Electronics. “This reorganization will help us leverage our collective strengths as an IDM, and create greater transparency and efficiency in management.”

The following are the primary organizational changes involved in this renewal:

Toward a solutions-oriented structure
Four business units organized previously according to technology (Solutions Operations Unit, and 1st, 2nd, and 3rd Business Development Operations Units) have been integrated and re-grouped as five new System Operations Units organized principally by application. The benefit of this solutions-based structure is a greater ability to provide comprehensive and customized solutions to customers according to the varying requirements for different end user applications.

Unifying research and development
The research and development teams from the Manufacturing Unit and 1st, 2nd, and 3rd Business Development Operations Units have been consolidated under the new Technology Foundation Development Operations Unit. This centralization of R&D functions will improve efficiency and help align interrelated technologies (such as process technology, packaging, design, and test) along a common roadmap.

Improving sales capabilities and regional support
Sales engineers from across many operations units have been transferred to the Sales and Marketing Operations Unit, creating a new Sales Engineering Division. A new Business Promotion Division was also established, and two of the seven previous sales divisions have been re-focused to provide enhanced sales functions in Asia, and sales support in North America and Europe. In addition, several account teams have gained autonomy and now report directly to the Sales and Marketing Unit itself, as opposed to divisions within the Unit.

Reinforcing manufacturing
A new Manufacturing Planning Division has been created within the Manufacturing Operations Unit to develop and implement global production strategies. For more details, please refer to the attached chart which shows the new organizational structure.
